These Terms & Conditions (“Terms”) govern your access to and use of the website operated by WebbDesignz (“WebbDesignz,” “we,” “us,” or “our”) and the design, marketing, hosting, software, and related services we provide (“Services”). By accessing our website or engaging us for Services, you (“you,” “Client”) agree to these Terms. If you do not agree, please do not use our website or Services.
1. Our Services
WebbDesignz is a Tulsa, Oklahoma growth studio offering website design and development, search engine optimization (SEO) and AI-search optimization, paid advertising, social media management, custom software, automation, hosting, and domain management. The specific Services, deliverables, fees, and timelines for your project are defined in the proposal, quote, statement of work, or order you approve (“Order”). If anything in an Order conflicts with these Terms, the Order controls for that engagement.
2. Quotes, Proposals & Estimates
Quotes and proposals are valid for thirty (30) days unless stated otherwise and are based on the scope described at the time of issue. Work requested beyond that scope (“change requests”) may require an adjusted fee and timeline, which we will communicate before proceeding.
3. Fees, Billing & Recurring Charges
- Project fees are quoted per project and are typically billed as a deposit to begin work with the balance due at or before launch, unless your Order states otherwise.
- Hosting & domain management is billed on a recurring annual basis. Website management is billed on a recurring monthly basis. Recurring plans renew automatically until cancelled in writing, and authorize us (or our payment processor) to charge your payment method on file for each renewal.
- Fees are exclusive of applicable taxes and any third-party costs (for example, ad spend, premium plugins, stock assets, or domain registration fees), which are your responsibility.
- Invoices are due upon receipt unless otherwise stated. We may pause or suspend Services, including hosting, for accounts that are past due, and reasonable late fees may apply.
4. Cancellations & Refunds
You may cancel a recurring hosting or management plan at any time with written notice; cancellation takes effect at the end of the current billing period, and fees already paid for that period are non-refundable. Project deposits cover work scheduled and performed and are non-refundable once work has begun. If you cancel a project in progress, you remain responsible for fees for work completed up to the cancellation date.
5. Client Responsibilities
To deliver on time, we rely on you to provide accurate information, content, branding assets, access credentials, timely feedback, and approvals. You represent that any content, images, logos, or other materials you supply are owned by you or properly licensed, and that we may use them to perform the Services. Delays in providing materials or approvals may extend timelines. You are responsible for the accuracy and legality of the information published on your site and in your campaigns.
6. Intellectual Property & Ownership
Upon full payment of all amounts due for a project, you own the final deliverables we create specifically for you (such as your website design and custom content), except for: (a) third-party components, fonts, plugins, libraries, and stock assets, which remain subject to their own licenses; and (b) our pre-existing tools, frameworks, code, and know-how, which remain our property and are licensed to you on a non-exclusive basis to operate your site. We may display your project and results in our portfolio and marketing unless you request otherwise in writing.
7. Third-Party Services & Platforms
Our Services rely on third-party platforms (for example, WordPress, hosting providers, Google, Meta, payment processors, and analytics and scheduling tools). We are not responsible for the availability, changes, pricing, or policies of those third parties. Your use of those platforms is subject to their terms.
8. Marketing, SEO & Advertising Results
We apply proven, ethical strategies, but search rankings, traffic, leads, conversions, and advertising performance depend on many factors outside our control, including search-engine and platform algorithms, competition, market conditions, and your own offerings and responsiveness. We do not guarantee specific rankings, results, or revenue. Any figures or case studies shown reflect past results for specific clients and are not a promise of future performance.
9. Hosting, Maintenance & Backups
Where you purchase hosting or management plans, we provide reasonable monitoring, updates, security measures, and backups. No hosting environment is completely immune to downtime, security incidents, or data loss. You are encouraged to retain your own copies of critical content. We are not liable for losses arising from events beyond our reasonable control.
10. Disclaimers
Except as expressly stated in an Order, the Services and our website are provided “as is” and “as available” without warranties of any kind, whether express or implied, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement, to the fullest extent permitted by law.
11. Limitation of Liability
To the fullest extent permitted by law, WebbDesignz will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for lost profits, revenue, data, or goodwill, arising out of or related to the Services or these Terms. Our total aggregate liability for any claim arising out of or related to the Services will not exceed the amount you paid to us for the specific Service giving rise to the claim during the three (3) months preceding the event.
12. Indemnification
You agree to indemnify and hold harmless WebbDesignz and its team from any claims, damages, liabilities, and expenses (including reasonable attorneys’ fees) arising from content you provide, your use of the Services, or your violation of these Terms or applicable law.
13. Confidentiality
Each party agrees to protect the other’s non-public business information shared in connection with the Services and to use it only as needed to perform or receive the Services.
14. Privacy
Our handling of personal information is described in our Privacy Policy, which is incorporated into these Terms by reference.
15. Changes to These Terms
We may update these Terms from time to time. The “Last updated” date above reflects the most recent revision. Continued use of our website or Services after changes take effect constitutes acceptance of the revised Terms.
16. Governing Law
These Terms are governed by the laws of the State of Oklahoma, without regard to its conflict-of-laws rules. Any dispute arising out of or relating to these Terms or the Services will be subject to the exclusive jurisdiction of the state and federal courts located in Tulsa County, Oklahoma.
